Our Services
Corporate Information & Structural Changes
Canadian federal and Québec corporate registration information, client-determined corporate
structural change processes, and related government-record change support.
How We Can Help
We assist businesses with corporate and registration-information changes that arise during
operations, including:
• changes to the corporate name
• registered office
• director information
• certain matters relating to the articles where the specific change has already been
independently determined by the client or by a lawyer, Québec notary, or other
appropriate professional
• share capital or share-class changes that have already been independently
determined by the client or by an appropriate professional
• business activity information
• and ownership or control information that must be filed with government registries
Depending on the company’s jurisdiction of registration, we can assist with:
• updating information with Corporations Canada, the Québec Registraire des
entreprises (REQ), and related government accounts
• and, where appropriate, coordinate corresponding updates with CRA, Revenu
Québec, banks, licensing authorities, and other relevant organizations
• For federal corporations, we can assist in identifying filing requirements arising from
changes to the registered office, directors, and Individuals with Significant Control
(ISC) information
• for businesses registered in Québec, we can assist in organizing information for the
déclaration de mise à jour courante, ultimate beneficiary (bénéficiaire ultime), and
related registry information
For interprovincial operations, out-of-province businesses entering Québec, extra-provincial
registration, continuance, amalgamation, reorganization, or other more complex corporate-structure changes, we can provide:
• process research
• document checklists
• administrative coordination
• and project management support

Scope & Professional Boundaries
Where a proposed change involves articles of incorporation, share capital, share classes,
rights attached to shares, or other matters requiring legal judgment, Inspelis provides
support only after the specific change has been independently determined by the client or by
a lawyer, Québec notary, or other appropriate professional. Our support may include
explanations of publicly available government processes, information organization,
document checklists, administrative coordination, and progress tracking. Inspelis does not
design share structures, rights attached to shares, provisions of the articles, ownership
arrangements, or other corporate structures requiring legal judgment.
For updates involving factual information already determined by the client and ordinary
administrative registry information, Inspelis may provide government-process information,
information organization, completeness checks, administrative guidance, progress tracking,
and project coordination.
Decisions concerning share classes and rights, provisions of the articles, ownership
structures, continuances, amalgamations, corporate reorganizations, or other matters
requiring legal judgment are made independently by the client and, where appropriate, with
advice from a lawyer, Québec notary, or other appropriate professional.
Share transfer agreements, shareholder agreements, special resolutions, corporate
reorganization documents, and other documents that by law fall within the scope of lawyers,
notaries, or other licensed professionals should be drafted or reviewed by the appropriate
professional.
Inspelis does not draft or modify Articles of Amendment, special resolutions, share transfer
agreements, shareholder agreements, corporate reorganization documents, or other
corporate organizational documents requiring legal judgment. Matters requiring legal
declarations, signatures, approvals, or confirmations by the client remain the responsibility of
the client or the appropriate professional.
For continuances, amalgamations, reorganizations, Articles of Amendment, or other matters
involving a corporation’s legal structure, this support is limited to research concerning
publicly available government processes, organization of information relating to matters
already determined by the client or an appropriate professional, document checklists,
administrative coordination, and project management. It does not include selecting or
designing the legal structure of the transaction or change.
